This End User License Agreement ("EULA") is a legally binding agreement between you ("Licensee") and Benyamin Khodabandeh ("Licensor") for the use of the BAVE AI Video Encoder software ("Software"). By installing, copying, or using the Software, you agree to be bound by this EULA.
Subject to your compliance with this EULA and payment of applicable fees, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable, limited license to install and use the Software on the number of workstations permitted by your purchased tier: Personal (1 workstation), Pro (3 workstations), or Enterprise (unlimited workstations). Each workstation requires a unique hardware ID (HWID) registration.
The Software is licensed per seat (per workstation). A "workstation" means a single physical computer on which the Software is installed and executed. You may not install or use the Software on more workstations than your license permits. Concurrent use of the same license key on multiple workstations exceeding your tier's device limit is a violation of this EULA.
Upon purchase, you will receive a unique license key. You must register each workstation by providing its hardware ID (HWID) through the BAVE dashboard or the encoder application. License keys are machine-locked to registered HWIDs. Device registration may be modified up to the device limit of your tier. Abuse of the device registration system may result in suspension of your license.
You may not: (a) reverse engineer, decompile, disassemble, or derive the source code of the Software; (b) modify, adapt, translate, or create derivative works based on the Software; (c) rent, lease, lend, sublicense, redistribute, or host the Software for third parties; (d) remove or alter any proprietary notices or labels on the Software; (e) bypass, disable, or circumvent any license enforcement or copy-protection mechanisms; (f) use the Software in any manner that violates applicable law.
The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any ownership rights in the Software.
This EULA is effective from the date of license key issuance and continues until terminated. The Licensor may terminate this EULA immediately if you breach any term. Upon termination, you must uninstall and cease all use of the Software. The perpetual license granted upon purchase survives termination only if you were in full compliance at the time of termination; otherwise, your right to use the Software ceases immediately.
The Licensor may provide updates, patches, or new versions of the Software at its discretion. All updates are subject to the terms of this EULA. The Licensor reserves the right to discontinue support for older versions. Enterprise tier includes priority updates and dedicated support.
THE SOFTWARE IS PROVIDED "AS IS" AND "WITH ALL FAULTS." THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS EULA OR THE USE OF THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE LICENSE FEE PAID BY YOU FOR THE SOFTWARE.
You agree not to export or re-export the Software in violation of applicable export control laws. The Software may not be downloaded or used in countries subject to sanctions or embargoes.
This EULA shall be governed by the laws of Iran. Any disputes shall be resolved in the courts of Tehran, Iran.
